These Terms govern your access to and use of the websites, applications, trust scores, reports, and related services provided by Paavis, Inc.

These Terms ("Terms") govern your access to and use of the websites, applications, trust scores, reports, and related services (collectively, the "Service") provided by Paavis, Inc. ("Paavis," "we," "us," or "our"). Please read them carefully.

By creating an account, checking a box indicating you accept these Terms, or otherwise accessing or using the Service, you agree to be bound by these Terms and by our [Privacy Policy] and [Cookie Policy], which are incorporated here by reference. If you do not agree, do not use the Service. If you are using the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

1. Definitions

  • "Trust Score" means the score, range, index, rating, indicator, or related output that Paavis generates about a business or organization using its methodology.

  • "Subject" means the business or organization that a Trust Score describes.

  • "Customer Data" means data, content, or materials you submit to or make available through the Service.

  • "Account" means the account you register to access the Service.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You may be required to sign in through a third-party identity provider (for example, LinkedIn). You are responsible for maintaining the confidentiality of your Account credentials and for all activity under your Account. You agree to provide accurate information and to keep it current. Notify us promptly at [contact email] of any unauthorized use.

3. The Service

Paavis provides a trust-intelligence platform that generates Trust Scores and related metrics and reports about Subjects. Some features are offered free of charge; others require a paid plan or purchase. We may add, change, suspend, or discontinue features at any time. Certain metrics or features may require you to connect or provide your own data, and the accuracy of those outputs depends on the data provided.

4. Nature of the Trust Score; no reliance

The Trust Score is an informational estimate and expression of opinion, not a statement of fact, guarantee, certification, or professional advice. It is generated from a limited set of signals and a proprietary methodology and may be incomplete, out of date, or inaccurate. Trust Scores are dynamic and may change over time.

You acknowledge and agree that:

  • (a) a Trust Score is not financial, credit, investment, legal, security, compliance, or other professional advice, and is not a credit score or a substitute for your own due diligence;

  • (b) Paavis does not guarantee any particular outcome, including any effect on conversion, revenue, sales, security posture, or reputation; and

  • (c) you are solely responsible for any decision you make in reliance on the Service, and you should independently verify information before acting on it.

The Service may include or reference information about Subjects that are not Paavis customers. A Subject's inclusion does not imply any endorsement, affiliation, or relationship.

5. Plans, fees, and billing

Prices and plan details are described at the point of purchase. Depending on the plan you select, fees may be charged as a one-time purchase or as a recurring subscription.

  • One-time purchases are charged once at the time of purchase and grant access to the specified output or feature.

  • Subscriptions renew automatically at the end of each billing period at the then-current rate until cancelled, and you authorize us (and our payment processor) to charge your payment method on each renewal. You can cancel a subscription at any time through your Account or by contacting [contact email]; cancellation takes effect at the end of the current billing period.

All fees are stated in [currency] and are exclusive of taxes, which you are responsible for. We may change prices on a prospective basis with reasonable notice.

6. Refunds

Except where required by law or expressly stated otherwise at purchase, fees are non-refundable and there are no refunds or credits for partial periods, unused features, or downgrades. [Describe any refund or trial policy here, if applicable.]

7. Customer Data

As between you and Paavis, you retain all rights in your Customer Data. You grant Paavis a worldwide, non-exclusive license to host, process, and use Customer Data as necessary to provide, maintain, secure, and improve the Service, and as otherwise described in our [Privacy Policy]. You represent that you have all rights and permissions needed to provide the Customer Data and that it does not violate any law or third-party right.

We may use aggregated and de-identified data derived from use of the Service for analytics, benchmarking, and product improvement, provided it does not identify you or any individual.

8. Acceptable use

You agree not to:

  • (a) use the Service in violation of any law or third-party right;

  • (b) copy, scrape, resell, sublicense, or redistribute Trust Scores, reports, or other Service content except as expressly permitted by your plan;

  • (c) reverse engineer, decompile, or attempt to derive the methodology or source code of the Service;

  • (d) interfere with or disrupt the integrity or performance of the Service, or attempt to gain unauthorized access to it;

  • (e) use the Service to harass, defame, or harm any person or organization, or to misrepresent a Trust Score or your relationship with Paavis; or

  • (f) use automated means to access the Service except through interfaces we provide.

9. Intellectual property

The Service, including the methodology, software, Trust Scores, reports, text, and design, and all related intellectual property, are owned by Paavis or its licensors and are protected by law. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes. All rights not expressly granted are reserved. "Paavis" and our logos are our trademarks; you may not use them without our prior written consent. If you provide feedback, you grant us a perpetual, royalty-free license to use it.

10. Third-party services

The Service may integrate with or link to third-party services (for example, identity providers, payment processors, or automation tools). We are not responsible for third-party services, and your use of them is governed by their own terms. Your use of a third-party sign-in or integration authorizes us to access and use related information as needed to provide the Service.

11. Disclaimers

THE SERVICE AND ALL TRUST SCORES AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. PAAVIS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY TRUST SCORE OR CONTENT IS ACCURATE, COMPLETE, OR RELIABLE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAAVIS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. PAAVIS'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO PAAVIS IN THE [TWELVE (12)] MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) [USD $100].

13. Indemnification

You agree to indemnify and hold harmless Paavis and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your Customer Data, your use of the Service, or your breach of these Terms or of any law or third-party right.

14. Term and termination

These Terms apply while you use the Service. You may stop using the Service at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if required by law, or to protect the Service or other users. Upon termination, your right to use the Service ends. Sections that by their nature should survive termination (including Sections 4, 7–9, and 11–16) will survive.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by posting the updated Terms with a new effective date or by other reasonable means). Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

16. Governing law and disputes

These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws rules. The parties agree that any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in King County, Washington, United States of America, and each party consents to the jurisdiction of those courts.

17. General

These Terms, together with the [Privacy Policy], [Cookie Policy], and any order or plan details, are the entire agreement between you and Paavis regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control.
